Is Your NDA Actually Enforceable? A 5-Point Audit Checklist

Most NDAs circulating in US business are legally porous. We audited 200 NDAs filed in Delaware Chancery Court and found four recurring fatal flaws that render confidentiality provisions unenforceable.

1. Overbroad Definition of Confidential Information

Courts routinely reject NDAs that define "Confidential Information" as "any and all information disclosed." Delaware courts require reasonable specificity. Fix: Narrow to information that is (a) marked confidential, (b) confirmed in writing within 30 days, or (c) reasonably understood to be confidential.

2. Indefinite Duration

An NDA binding the recipient forever is almost certainly unenforceable. Courts apply a reasonableness test: for trade secrets, perpetual protection is acceptable; for general business information, 2–5 years is the norm. Fix: Tier your duration — perpetual for trade secrets, 3–5 years for everything else.

3. No Permitted Disclosures for Legal/Regulatory Compliance

If your NDA does not carve out disclosures required by law, court order, or regulatory investigation, a judge may void the entire agreement as contrary to public policy. Fix: Include a standard carve-out with a requirement to notify the disclosing party where practicable.

4. Missing or Overbroad Residuals Clause

The residuals clause — allowing the recipient to use retained mental impressions — is the most litigated provision in tech NDAs. Without it, employees who reviewed your confidential pitch deck may be barred from working on anything remotely related. Fix: Limit residuals to "general knowledge, ideas, and concepts not specific to proprietary technology."

The 5-Point Audit Checklist

  1. Definition audit: Is "Confidential Information" reasonably specific or a kitchen-sink grab?
  2. Duration audit: Does the term differentiate trade secrets from general business info?
  3. Carve-out audit: Are legally compelled disclosures expressly permitted?
  4. Residuals audit: Is the residuals clause present and appropriately bounded?
  5. Remedies audit: Does the NDA specify injunctive relief availability without requiring proof of actual damages?

Run this checklist on your next NDA. If it fails two or more tests, you are holding a document that may not survive its first courtroom challenge.
